We advise clients on all company-related legal issues and corporate governance best practice.

We assist with the establishment and use of different corporate vehicles and the drafting of the constitutional documents. We also help with procedural documents such as board minutes, resolutions and general meeting notices, and guide companies on more technical matters such as increases and reductions in share capital, the redemption and buy back of shares, class rights, and dividends and other distributions.

In order to help boards of directors with corporate and governance compliance, we review and draft policies and procedures, and also undertake ‘health checks’ for our clients so as to ensure that they are compliant with the law and best practice.

We advise disaffected shareholders on unfair prejudice or minority shareholder actions where companies have failed in their duties and/or fallen foul of the law.
